Te Dua is a creative and media studio. We provide narrative, branding, design, marketing, content, and media production services. We are not, and do not hold ourselves out as, a broker, dealer, broker-dealer, placement agent, finder, capital-raising intermediary, investment adviser, investment bank, underwriter, or fiduciary of any kind. We are not registered as any of the foregoing with the U.S. Securities and Exchange Commission, the Financial Industry Regulatory Authority (FINRA), any state securities regulator, or any other authority, and we do not perform any function that would require such registration.

In connection with our services, Te Dua does not, and will not:

• offer, sell, solicit, or negotiate the purchase or sale of any security;

Our compensation is limited to fixed or time-based fees for creative and media services, agreed in advance and payable regardless of whether any client raises capital or completes any transaction. Any introductions we may facilitate are made for relationship purposes only, are not offers or solicitations, and are never compensated, contingent, or transaction-based. The decision to pursue, structure, or complete any financing rests solely with the client and the relevant investors.

5. No Offer or Solicitation of Securities

Nothing on the Site, in our marketing, or in any work product we create constitutes an offer to sell, or a solicitation of an offer to buy, any security, fund interest, or investment, in any jurisdiction. Any such offer or solicitation, if made, will be made only by the relevant client through definitive offering documents and in compliance with applicable securities laws.

Materials we prepare for clients, including decks, websites, one-pagers, data room content, and films, are marketing and communications materials authored on the client’s behalf and subject to the client’s review and approval. The client is solely responsible for the accuracy and the legal and regulatory compliance of any materials used in connection with an actual or potential securities offering.

6. No Guarantee of Results

We make no guarantee, representation, or warranty that any client will raise capital, secure investment, attract investors or limited partners, achieve any valuation, or obtain any particular outcome. References on the Site to making a client “fundable” or “raise-ready,” or to “the Crossing,” describe the quality and readiness of narrative, brand, and materials only. They do not promise, predict, or imply any financing result.

7. Testimonials and Case Studies

Testimonials, case studies, client names, and results described on the Site reflect the experience of specific clients and are shared with their consent. They are not a guarantee or prediction of future results, and your results may differ. Client outcomes depend on many factors outside our control.

Te Dua makes no representations or warranties, express or implied, regarding:

• The accuracy or completeness of the content
